Conversion to Public Limited Company

Re-registration and change of name

SMBCE is planning to re-register from an English private limited company to an English public limited company and change its name to SMBC Bank International plc under the relevant provisions of the Companies Act 2006.

The re-registration and name change is currently scheduled to take place at the same time on or around 5 October 2020, subject to the completion of all required procedures.

The bank will remain a wholly owned subsidiary of its Japanese parent company, SMBC, and will remain the same legal entity with the same registered company number (04684034) and registered office following the re-registration and name change. The statutory directors and UK regulatory status of the bank will not change.

What does this mean for customers?

The re-registration and name change will not impact customer dealings with the bank and no action will be required on the part of customers. All of the bank’s existing contractual and service arrangements and the bank’s existing obligations under them will remain unchanged.

The personnel at the bank with whom customers currently interact and their contact details, including email addresses, will remain the same (unless otherwise notified to you by us). The account details of the bank will remain the same, including the SWIFT code, except that SMBCE's name will change to SMBC Bank International plc.

Updated corporate documents

Following completion of the re-registration and name change, the bank will make the combined change of name and re-registration certificate issued by the UK Registrar of Companies and its updated articles of association available on this webpage.
